Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "Customer") and Ajinkya Technologies, a proprietorship/firm having its registered office at #401, 4th Floor, Shri Laxminarayan Arcade, Mahatma Phule Road, Shastri Nagar, Belagavi, Karnataka, 590003, India (the "Company", "we", "us"), governing your access to and use of the Ankastra software-as-a-service product, websites, mobile applications, and related services (collectively, the "Service").

By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms in accordance with the Indian Contract Act, 1872 and the Information Technology Act, 2000.

You represent that you are at least 18 years of age and competent to contract under Indian law. If you accept these Terms on behalf of a business entity, you warrant that you have authority to bind that entity.

Ankastra is a cloud-hosted software platform delivered on a subscription basis. The Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the subscription term and subject to these Terms.

All fees are quoted and payable in Indian Rupees (₹). Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. Applicable Goods and Services Tax (GST) will be added at the prevailing rate. Payments are processed by our payment partner Razorpay. By providing payment instrument details, you authorise the Company (through Razorpay) to charge the applicable fees. Failure to pay due fees may result in suspension or termination of the Service.

You shall not:

Use the Service in violation of any applicable Indian law, including the Information Technology Act, 2000 and rules thereunder. Reverse engineer, decompile, or attempt to extract the source code of the Service. Upload or transmit content that is unlawful, infringing, defamatory, obscene, or otherwise prohibited under the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Resell, sublicense, or provide the Service to third parties without our written consent. Attempt to gain unauthorised access to the Service, its related systems, or other users' accounts.

All right, title, and interest in and to the Service, including all software, content, trademarks, logos, designs, and documentation, are and shall remain the exclusive property of Ajinkya Technologies and/or its licensors. You retain ownership of the data you upload ("Customer Data"). You grant the Company a limited licence to host, process, and display Customer Data solely to provide the Service.

Each party shall protect the other's confidential information using at least the same standard of care it uses to protect its own confidential information, and in no event less than reasonable care.

We endeavour to keep the Service available 24×7 but do not guarantee uninterrupted access. Scheduled maintenance, force majeure events, or third-party outages may cause downtime. No service-level credits are payable unless expressly agreed in a separately executed enterprise agreement.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJINKYA TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted under Indian law, the Company's aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the fees actually paid by you to the Company in the three (3) months immediately preceding the event giving rise to the claim. In no event shall the Company be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities.

You agree to indemnify, defend, and hold harmless Ajinkya Technologies and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (i) your use of the Service in breach of these Terms; (ii) your Customer Data; or (iii) your violation of any law or third-party right.

Either party may terminate a subscription at the end of the then-current billing cycle. The Company may suspend or terminate your access immediately if you breach these Terms or fail to pay fees when due. Upon termination, your right to use the Service ceases and we may delete Customer Data after a reasonable grace period in accordance with our retention policy.

These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and the Information Technology Act, 2000, without regard to its conflict-of-laws principles.

Subject to the arbitration clause below, the courts at Belagavi, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Any dispute, controversy, or claim arising out of or in relation to these Terms shall first be attempted to be settled amicably between the parties. Failing such resolution within 30 days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent, the seat and venue shall be Belagavi, Karnataka, and the proceedings shall be in English.

We may revise these Terms from time to time. The "Last Updated" date reflects the latest revision. Continued use of the Service after such revisions constitutes acceptance of the updated Terms.
